#########  UNIMWEB - PROGRAM RULES & REGULATIONS

I. INTRODUCTION:

These Rules and Regulations, Terms and Conditions shall be effective only upon acceptance by the Company at the Corporate Office. These Rules and Regulations, Terms and Conditions have been adopted in order to define the duties, responsibilities, and rights of UNIMWEB and UNIMWEB program participants.

II. RULES & REGULATIONS

 1. Participant is of legal age in the state in which he resides.

2. In conduct of business practice, Participant shall avoid all deceptive, misleading, unethical, illegal or immoral conduct or practices.

3.Participant agrees that the Company will not be liable whatsoever for city, county, state and federal taxes or other fees pertaining to efforts or earnings of the Participant.

4.Participant shall not represent or imply, directly or indirectly that the Company Program has been endorsed by any governmental agency. Federal and State regulatory agencies do not ever approve or endorse any marketing company, product or programs.

5. Participant will indemnify and hold the Company harmless from any and all expenses and costs incurred in relation to their promotion, marketing, administrative and other various costs in regards to the Company Program.

6. When presenting the Company Program to others, Participant shall present the Program in its entirety, without omission, distortion, misrepresentation, and in conformance with the requirements of Federal and State law.

7. Participant shall not represent that any exclusive territories or franchises are available under the Company Program or that the Participant has the authority to grant exclusive rights on behalf of the Company to anyone.

8. Participants shall not sell or display in any retail outlet or export from the United States any Company Product without prior written approval from the Company. This is simply protection for both Participant and the Company.

9. Participant may not use Company Logo or any trade names without prior written consent of the Company.

10. Participant will pay monthly hosting fees ranging from $9.95 or $39.95 to Company for hosting and to maintain the server.


11. Participant may terminate their hosting agreement with Company with a thirty (30) day written notice.

12. Company reserves the right to terminate this Agreement immediately upon receipt of information sufficient to the Company that Participant has violated of any term or condition of the this Agreement in any way.

13. Company does not in any way guarantee any performance or results in the form of income or profit from the use of our program. Company simply offers tools that can be used for business enhancement.

14. Company reserves the right to change, add or delete to this program at any time.

15. Company s website will serve as the most up to date form of information for any changes.

16. Company will continue to host and maintain server provided that Participant hosting fees are made monthly.

17. Should any provision of this Agreement violate an applicable state law, such provision will be automatically amended to conform to the requirements.

18. In the event of litigation arising out of or related to this Agreement, the prevailing party will be entitled payment for its attorney s fees and expenses incurred at trial on appeal as determined by the court.
